General Meeting of Shareholders

The General Meeting of Shareholders (GMS) is a meeting for all shareholders that can be called by the Board of Directors or requested by the Board of Commissioners to set out key company decisions together or make decisions on matters not delegated to the Board of Directors or the Board of Commissioners.

According to the Articles of Association, there are two (2) types of GMS:

  1. Annual GMS, held once per year; and
  2. Extraordinary GMS, held at any time, as needed.

GMS Rights and Authorities
GMS authorities include:

  1. To appoint and dismiss members of the Board of Commissioners and Board of Directors.
  2. To evaluate the performance of the Board of Commissioners and Board of Directors.
  3. To approve amendments of the Articles of Association.
  4. To set the allocations of profit.
  5. To appoint a public accountant and determine the form and amount of remuneration for the Board of Commissioners and Board of Directors.

Issuance of Publication on GMS Information

The Company does not issue publications on GMS information to the public since it is not a Public Company.
